This Platform Agreement (“Agreement”) sets out the terms governing your access to and use of the Propti platform, website, mobile application, smart contracts, and related services (collectively, the “Platform”) provided by Propti Ltd.

By using or accessing the Platform, you acknowledge that you have read, understood, and agreed to this Agreement, the Privacy Policy, and all applicable offering documents (“Offering Documents”).

If you do not agree, you must immediately discontinue use of the Platform.

You represent and warrant that:

• You are at least 18 years of age and have full legal capacity to enter into this Agreement;
• All information provided during registration and verification (including KYC/AML) is accurate and complete;
• You are not a resident of any jurisdiction that prohibits participation in tokenized securities or digital asset transactions;
• You meet the criteria of an Accredited, Qualified, or Professional Investor as defined by applicable laws;
• You will comply with all applicable laws, regulations, and sanctions.

You agree to complete all KYC/AML verification steps required by Propti.

Propti reserves the right to refuse, suspend, or terminate accounts failing these checks or showing suspicious activity.

You are responsible for maintaining the confidentiality of your credentials and private keys.

Propti shall not be liable for any loss arising from unauthorized access or misuse.

Tokens issued through the Platform represent beneficial ownership interests in the future economic befits of the underlying real estate assets.

Token transfers may be restricted by law or smart contract rules, including:

• Lock-up periods;
• Jurisdictional whitelisting;
• Securities resale limitations (e.g., Regulation S or Rule 144).

Unauthorized or non-compliant transfers are strictly prohibited.

Users agree to:

• Use the Platform lawfully and in good faith;
• Refrain from tampering, reverse-engineering, or interfering with the system;
• Avoid uploading malicious code or engaging in fraudulent activity;
• Comply with all Platform policies and applicable law.

Propti reserves the right to suspend or terminate access at its sole discretion for any misuse or non-compliance.

Propti may impose fees for Platform services, token listings, or transactions as specified in the relevant Offering Documents or Platform notices.

Users are responsible for reviewing all applicable fees before transacting.

All intellectual property, including trademarks, source code, content, and data on the Platform, remains the sole property of Propti or its licensors.

Users receive only a limited, non-exclusive, revocable right to use the Platform for its intended purpose.

User data is collected, processed, and stored in accordance with Propti’s Privacy Policy and applicable data protection laws.

By using the Platform, you consent to such collection and processing.

To the maximum extent permitted by law, Propti and its affiliates shall not be liable for any direct, indirect, special, or consequential damages resulting from:

• Your use or inability to use the Platform;
• Unauthorized access, technical failures, or loss of tokens;
• Regulatory changes affecting asset value; or
• Errors or inaccuracies in data or documentation.

You agree to indemnify, defend, and hold harmless Propti, its officers, employees, and affiliates from any claims, damages, or liabilities arising from your breach of this Agreement or misuse of the Platform.

Propti may suspend, restrict, or terminate your access to the Platform at any time for breach of this Agreement, regulatory requirements, or technical or operational reasons.

Upon termination, all rights to use the Platform cease immediately.

This Agreement shall be governed by and construed under the English laws Disputes shall be resolved through arbitration / courts of competent jurisdiction as specified in the Offering Documents.

Propti reserves the right to update or amend this Agreement at any time.

Updated terms will be posted on the Platform. Continued use constitutes acceptance of such revisions.

By proceeding on the Platform you confirm that you have read, understood, and agree to the terms of this Agreement.
